Changes to the Amazon Services Business Solutions Agreement

We are making changes to the Amazon Services Business Solutions Agreement. These changes will go into effect in 22 days, i.e., September 1, 2021.

The key changes are summarized below:

  1. Section 2 of the General Terms will be updated to note that deceptive, fraudulent, or illegal activity includes the use of other accounts for such purposes and expressly includes the sale of counterfeit goods.
  2. Section 3 of the General Terms will be updated to note that the Term and Termination provisions apply to your account or this Agreement.
  3. Section 9 of the General Terms will be updated to replace “each month over any period of three (3) consecutive months” with “any month if the Elected Country is the United States, or each month over any period of three (3) consecutive months if the Elected Country is Canada or Mexico.” This Section will also be updated to note that we may request and you will provide full insurance policies and other coverage documents.
  4. Section 18 of the General Terms will be updated to provide us with the ability to pursue claims related to the sale of counterfeit products in the Governing Courts.
  5. In Section 18 of the General Terms, our registered agent will be changed from “CSC Services of Nevada, Inc., 112 N Curry Street, Carson City, NV 89703” to “CSC 300 Deschutes Way SW, Suite 208 MC-CSC1, Tumwater, WA 98501”.
  6. References to the “Amazon Services Contracts, Inc.” Amazon Contracting Party will be replaced with “Amazon.com Services LLC”, except if the Elected Country is Canada it will change to “Amazon.com.ca, Inc.”.
  7. In Definitions for the General Terms, references to the “Amazon Services International, Inc.” Amazon Contracting Party for “If the Elected Country is Canada” will be replaced with:
    1. “Amazon.com.ca, Inc.” for Selling on Amazon.
    2. “Amazon Advertising Canada, Inc.” for Amazon Advertising.
  8. Section S-2.1 of the Selling on Amazon Service Terms will be updated to include that when packaging Your Products, you must include warnings or instructions necessary to safely use Your Products.
  9. Section S-3.2 of the Selling on Amazon Service Terms will be updated by adding “if the Elected Country is Canada or Mexico” after “S-3.2 A-to-z Guarantee and Chargebacks."
  10. The Selling on Amazon Service Terms will be updated to include S-3.3, a provision that includes changes to the A-to-z Guarantee for the United States to add a Claims Process for Property Damage and Personal Injury claims, including a new Program Policy addressing that process.
  11. Section S-5 of the Selling on Amazon Service Terms will be updated to include references to Sections S-3.2 and S-3.3.
  12. The Selling on Amazon Service Terms will be updated to include S-7.2, a Continuing Guarantee provision covering certain products regulated under the U.S. Federal Food, Drug, and Cosmetic Act.
  13. The Selling on Amazon Definition for “Required Product Information” will be updated to include that in connection with the offer, merchandising, advertising, or sale of Your Product, you must include information necessary for the safe use of Your Product.
  14. Section F-7.2 of the Fulfillment Services will be updated to include a provision covering proceeds related to units Amazon is entitled to dispose of, as well as the manner of disposal.
  15. Section F-11 of the Fulfillment Services will be updated for clarity and to include references to “releasing party” and “released party."

Your continued use of Selling Services after September 1, 2021, constitutes your acceptance of the updated agreement.
